By submitting payment for sponsorship of the Advocating While Black Summit, the  Sponsor acknowledges that they have read, understood, and agreed to the following terms  and conditions:

1. Sponsorship Commitment 

Submission of payment confirms the Sponsor's commitment to participate at the selected  sponsorship level and to fulfill the benefits and responsibilities associated with that  sponsorship.

2. Payment 

Sponsorship is considered confirmed upon receipt of payment unless other written payment  arrangements have been approved by Advocating While Black. Sponsorship benefits will  begin only after payment has been received.

3. Marketing Materials 

The Sponsor agrees to provide all requested logos, advertisements, promotional materials,  biographies, website links, and any other required assets by the deadlines established by  Advocating While Black. Failure to meet submission deadlines may result in missed  promotional opportunities, and Advocating While Black cannot guarantee inclusion in printed  or digital materials after published deadlines have passed. 

 

4. Use of Name and Logo 

The Sponsor grants Advocating While Black permission to use the Sponsor's name, logo,  trademarks, and approved marketing materials for the purpose of promoting the Summit.  This includes, but is not limited to, the event website, social media, email campaigns, printed materials, signage, presentations, and other promotional communications related to the event.

5. Professional Conduct 

Sponsors agree to conduct themselves in a professional, ethical, and respectful manner that reflects the mission and values of the Advocating While Black Summit. Advocating While Black reserves the right to remove any sponsor whose conduct, messaging, products, or services are determined to be inconsistent with the integrity or mission of the event.

6. Mission Alignment 

The Advocating While Black Summit exists to educate, empower, and elevate Black families,  advocates, educators, professionals, and the communities they serve. Advocating While Black reserves the right to decline, revoke, or terminate any sponsorship if it determines, in its sole discretion, that the Sponsor's business practices, messaging, products, services, or public conduct conflict with the Summit's mission, values, or reputation. In such instances,  Advocating While Black will communicate its decision in writing. If sponsorship is terminated due to a material conflict with the Summit's mission or values, any refund will be determined at the sole discretion of Advocating While Black based on the sponsorship benefits already delivered.

7. Program Changes 

Advocating While Black reserves the right to make reasonable changes to the event schedule,  venue, speakers, sponsorship benefits, programming, or event format as necessary. Such changes shall not constitute grounds for cancellation or refund.

8. Cancellation by Sponsor 

Sponsorship payments are non-refundable. If a Sponsor chooses to cancel after payment has been received, all sponsorship fees will be retained by Advocating While Black. Sponsorship benefits already provided cannot be reversed or reassigned.

9. Force Majeure 

Advocating While Black shall not be liable for delays, modifications, postponements, or cancellation of the Summit resulting from circumstances beyond its reasonable control,  including but not limited to natural disasters, acts of God, government action, public health emergencies, labor disputes, acts of terrorism, venue closures, or other unforeseen events.  In such circumstances, reasonable efforts will be made to honor sponsorship benefits through rescheduling or comparable promotional opportunities whenever feasible. 

 

10. Limitation of Endorsement 

Participation as a Sponsor does not constitute an endorsement by Advocating While Black of any Sponsor's products, services, opinions, or organization. Likewise, the Sponsor may not imply endorsement beyond its status as an official Summit Sponsor.

11. Acceptance of Terms 

Payment of the accompanying invoice constitutes the Sponsor's acceptance of these  Sponsorship Agreement & Terms.
